Following the success of our last training session before the summer holidays the next session in our Disputes HQ training series: Navigating post-acquisition issues (and how to avoid them), is coming up on 24 September 2024.

A variety of tricky issues can arise following a business / share acquisition, including payment and performance issues, deferred consideration arguments including disputes over earn-outs and completion accounts, and other warranty and indemnity disputes. These issues require careful handling and thought, both at the pre-deal drafting stage and post-deal implementation stage, in order to preserve rights and prevent escalation to full-blown disputes.

During this session, we will consider the interpretation of dual conditions and other drafting in an SPA which can affect the limitation of liability, as well as contractual compliance risks in respect of the notification of a claim. We will use case study examples to explore and bring to life the latest Court of Appeal and High Court cases in this area.

Our session will provide a practical summary, focusing on the latest best practice and tips to manage risk (both pre- and post-deal), from the point of view of our experienced Dispute Resolution lawyers.
